AshnaAI Terms of Use

These Terms of Use (“Terms”) form a legally binding agreement between you and OPRITS RESEARCH PRIVATE LIMITED, operating under the brand name AshnaAI.


These Terms govern your access to and use of AshnaAI websites, applications, platforms, AI agents, workflows, connectors, integrations, APIs, tools, files, execution environments, and related services (collectively, the “Services”).

By creating an account, clicking an acceptance button, connecting a third-party service, purchasing a plan, or using the Services, you agree to these Terms, the AshnaAI Privacy Policy, and any additional terms that apply to a particular feature or service.


If you do not agree to these Terms, do not access or use the Services.


1. Definitions

In these Terms:


  • “AshnaAI,” “we,” “us,” and “our” means OPRITS RESEARCH PRIVATE LIMITED.
  • “you” and “your” means the individual or legal entity using the Services.
  • “Account” means an account registered with AshnaAI.
  • “Organization” means a company, school, university, employer, government body, or other entity that authorizes or provides access to the Services.
  • “User Content” means prompts, instructions, files, documents, data, images, audio, video, messages, workflows, agent configurations, connector settings, and other material submitted, uploaded, connected, or made available by you.
  • “Output” means content, recommendations, actions, files, messages, results, or other material generated or returned by the Services.
  • “Third-Party Service” means an external application, platform, API, model, connector, storage provider, payment provider, or other service connected to or used with AshnaAI.
  • “Plan” means a free, paid, usage-based, enterprise, educational, promotional, or other service plan offered by AshnaAI.
  • “Documentation” means user guides, product documentation, technical instructions, limits, and other materials published by AshnaAI.

2. The AshnaAI Services

AshnaAI is an agentic AI and workflow-orchestration platform that enables users and Organizations to create, configure, deploy, and manage AI agents and workflows.


The Services may coordinate AI models, tools, files, applications, connectors, Third-Party Services, sub-agents, business systems, execution environments, and other software or infrastructure.


Depending on the feature, AshnaAI may assist with workflows involving education, university and college applications, finance, operations, hiring, productivity, document management, communication, scheduling, business applications, and other lawful activities authorized by you.


AshnaAI is an orchestration platform. It may use different models, tools, infrastructure providers, and Third-Party Services to process instructions and complete a requested task.


The Services are not intended to replace professional judgment, legal advice, medical advice, financial advice, or other regulated professional services.


Features may differ based on your Plan, location, Account type, Organization settings, connected services, technical availability, applicable law, and requirements imposed by Third-Party Services.


3. Eligibility

You may use the Services only if you are legally capable of entering into a binding agreement.


You must be at least 13 years old, or the higher minimum age required by the laws applicable to you.


If you are below the age of majority in your location, you may use the Services only with the permission and supervision of a parent, guardian, school, Organization, or other legally authorized person where required by law.


You must not use the Services if you are prohibited from doing so under applicable law; you are located in a territory subject to applicable sanctions; you are a sanctioned person or entity; or your use would cause AshnaAI to violate applicable law.


If you use the Services on behalf of an Organization, you represent and warrant that you have authority to bind that Organization; you are authorized to accept these Terms; the Organization is responsible for use of the Services through its Account; and the Organization has obtained all required permissions and consents.


4. Account Registration and Security

Some features require an Account.


You agree to provide accurate, complete, and current information; keep your information updated; protect passwords, API keys, access tokens, and other credentials; not share your Account with unauthorized persons; promptly notify AshnaAI of unauthorized access; use only Accounts and Third-Party Services that you are authorized to use; and not impersonate another person or entity.


You are responsible for activity conducted through your Account, except to the extent that the activity resulted directly from AshnaAI’s failure to apply reasonable security measures.


AshnaAI may require identity, payment, age, security, or other verification before granting or continuing access to particular features.


You must not create Accounts using false information, create multiple Accounts to evade a restriction, share access credentials in violation of a Plan, transfer an Account without authorization, or use another person’s Account without permission.


5. Organization Accounts

If your Account is created, managed, or paid for by an Organization, the Organization may administer the Account; the Organization may control users, agents, workflows, files, connectors, permissions, and data; the Organization may access, modify, export, or delete information in its environment; your use may be subject to the Organization’s policies; and the Organization may have a separate agreement with AshnaAI.


AshnaAI is not responsible for the actions, instructions, permissions, policies, or data-management practices of your Organization.


If these Terms conflict with a written agreement between AshnaAI and an Organization, that written agreement controls for the relevant Services.


6. License to Use the Services

Subject to these Terms and payment of applicable fees, AshnaAI grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Services for lawful personal or internal business purposes.


You must not resell, sublicense, lease, or commercially exploit the Services without authorization; copy, modify, or reproduce the Services except as permitted by law; remove proprietary notices; reverse engineer or attempt to extract source code; bypass access controls or technical limitations; use unauthorized scraping or automated extraction; interfere with the operation or security of the Services; use the Services to develop a competing product where prohibited by law or contract; access the Services through unauthorized means; or use the Services beyond the limits of your Plan.


AshnaAI may update, modify, replace, suspend, or discontinue features in accordance with these Terms.


7. User Content

You retain ownership of your User Content.


You represent and warrant that you own or control the necessary rights in the User Content; you have authority to submit, upload, process, share, or connect it; its use does not infringe intellectual-property, privacy, confidentiality, publicity, or other rights; it complies with applicable law; you have provided legally required notices and obtained required permissions and consents; you are authorized to connect every relevant Third-Party Service; and it does not knowingly contain malware or malicious code.


You grant AshnaAI a limited, worldwide, non-exclusive license to host, copy, process, transmit, modify where technically necessary, display, and use User Content only as necessary to provide and operate the Services; execute your instructions; generate Outputs; operate authorized integrations; maintain security; prevent fraud, abuse, and unauthorized activity; provide support; troubleshoot the Services; comply with legal obligations; and enforce these Terms.


AshnaAI does not acquire ownership of your User Content under these Terms.


You must not submit sensitive personal data, confidential information, regulated data, or legally protected material unless the use is permitted by applicable law, you have the necessary authority and legal basis, the Services and Plan are suitable for that material, and you have implemented any required safeguards.


8. Personal Data and Customer Responsibilities

You are responsible for determining whether AshnaAI is appropriate for the personal data, confidential information, or regulated information you submit.


You must provide legally required privacy notices, obtain required consent or establish another lawful basis, configure access controls, limit data to what is necessary, comply with data-subject or consumer requests, comply with sector-specific requirements, review Outputs before taking action, and not use the Services in a manner that violates privacy or data-protection laws.


If you use AshnaAI to process personal data on behalf of an Organization, the Organization may act as the controller, data fiduciary, business, or equivalent entity, and AshnaAI may act as a processor, data processor, service provider, or equivalent entity.


Where required, the parties may enter into a separate Data Processing Addendum (“DPA”). If a DPA conflicts with these Terms regarding the processing of personal data, the DPA controls for that processing.


9. AI Models and Technology Providers

AshnaAI may use third-party model, infrastructure, hosting, storage, security, analytics, and technology providers to provide the Services.


Depending on the feature, providers may include Microsoft Foundry, Amazon Web Services AI services, Google Vertex AI, and other model or infrastructure providers disclosed in the AshnaAI Privacy Policy.


AshnaAI may route User Content to a provider only when reasonably necessary to process a prompt or instruction, generate an Output, execute a workflow, operate a connected integration, host or store data, maintain security, provide support, or comply with law.


AshnaAI will apply contractual, technical, and organizational controls appropriate to the relevant processing.


The availability, performance, behavior, pricing, and policies of a model or provider may change without AshnaAI’s control. AshnaAI may replace or discontinue a provider or model where necessary.


AshnaAI does not authorize providers to use Google user data for advertising, independent commercial purposes, or generalized model training where prohibited by applicable Google policies or contractual commitments.


10. AI-Generated Outputs

The Services may generate text, images, audio, video, code, summaries, reports, recommendations, classifications, workflows, messages, data transformations, and other Outputs.


Outputs may be inaccurate; incomplete; outdated; biased; misleading; inappropriate; unavailable; similar to Outputs generated for other users; or affected by errors in User Content, tools, models, or Third-Party Services.


You are responsible for reviewing, testing, validating, and approving Outputs before sending or publishing them; submitting them to an institution or authority; relying on them; making a business decision; making a legal, financial, employment, education, healthcare, or safety decision; or taking an action that may affect another person.


AshnaAI does not guarantee that Outputs are accurate, unique, original, legally compliant, or free from third-party rights.


You should not rely solely on an Output for decisions involving employment, recruitment, education admission, scholarships, housing, credit, insurance, healthcare, legal rights, immigration, public benefits, safety, or other matters that may materially affect a person.


Where required by applicable law, you are responsible for providing human review, oversight, explanation, appeal, and correction procedures.


AshnaAI does not provide legal, medical, financial, employment, educational, or other professional advice unless expressly agreed in a separate written agreement.


11. AI Transparency and Responsible Use

You must not represent an AI-generated Output as verified human work where disclosure is required by law, contract, platform policy, or professional standard.


Where applicable, you are responsible for informing affected persons that AI is being used, providing legally required notices, labelling or marking AI-generated content, preserving relevant records, providing human oversight, assessing foreseeable risks, preventing unlawful discrimination, and complying with applicable AI-transparency requirements.


You must not use the Services to create or distribute deceptive synthetic media, impersonation content, non-consensual intimate imagery, or content intended to cause unlawful harm.


AshnaAI may apply technical restrictions, monitoring, moderation, or review to protect users, the Services, and the public.


12. Connected Third-Party Services

The Services may allow you to connect Third-Party Services.


Your use of a Third-Party Service is subject to that provider’s terms, policies, permissions, and privacy practices.


You authorize AshnaAI to access or act through a connected service only to the extent that you approve the connection; the third party permits the connection; AshnaAI supports the relevant functionality; and the action is consistent with your instructions.


AshnaAI is not responsible for third-party availability, third-party content, third-party security, third-party privacy practices, third-party data accuracy, changes to third-party APIs, third-party suspension, third-party rate limits, or actions taken by a Third-Party Service.


13. Google Services

AshnaAI may provide integrations with Google Drive, Gmail, Google Calendar, Google Forms, and Google Sheets.


When you connect a Google Account, you authorize AshnaAI to access and use only the data and permissions displayed by Google and approved by you.


Depending on the permissions granted, AshnaAI may create, read, update, organize, or delete authorized Drive content; create, update, reschedule, or cancel Calendar events; create or modify Google Forms; create or modify Google Sheets; prepare and send user-approved emails; and interact with a current Gmail message where an authorized feature requires it.


AshnaAI does not request or store your Google password.


You represent that you have authority to connect the Google Account and provide access to the relevant content.


For consequential actions, including sending an email, deleting a file, cancelling an event, or deleting a Form, AshnaAI may request confirmation before execution.


You may disconnect Google through your AshnaAI account settings or through:

After disconnection or revocation, AshnaAI will stop obtaining new Google data and terminate access to the connected Google Workspace environment in accordance with its procedures.


AshnaAI’s use and transfer of information received from Google APIs is subject to the AshnaAI Privacy Policy and the Google API Services User Data Policy, including its Limited Use requirements.


14. Meta Services

AshnaAI may provide integrations with Facebook, Instagram, WhatsApp, Messenger, and Meta Business tools.


When you connect a Meta Account, you authorize AshnaAI to access only the information and permissions displayed by Meta and approved by you.


Depending on the feature, AshnaAI may create, schedule, publish, or manage content; retrieve authorized posts, media, comments, or messages; assist with customer-support workflows; manage business content; summarize authorized information; and perform other actions requested by you.


You must have authority to connect the Meta Account and use the relevant content.


Your use of Meta integrations must comply with applicable Meta terms, policies, and developer requirements.


You may disconnect Meta through AshnaAI or the relevant Meta account settings.


15. User-Authorized Actions

When you instruct AshnaAI to perform an action through a connected service, you authorize AshnaAI to perform that action within the permissions granted by you.


You are responsible for reviewing recipients, messages, files, events, spreadsheet changes, Form settings, permissions, generated content, workflow parameters, and other proposed actions.


AshnaAI may prepare a draft or proposed action before execution. A confirmation request does not transfer responsibility for the action from you to AshnaAI.


AshnaAI is not responsible for consequences caused by incorrect instructions, inaccurate User Content, incorrect recipients, incomplete information, failure to review an Output, unauthorized access to your Account, Third-Party Service errors, changes to a connected service, or an action approved by you.


16. Acceptable Use Policy

You must use the Services lawfully, responsibly, and in accordance with these Terms.


You must not use the Services to violate applicable law; infringe third-party rights; access an Account or system without authorization; impersonate another person or entity; send spam, phishing, or unsolicited communications; harass, threaten, defame, or abuse another person; generate or distribute malware; deploy ransomware, spyware, or other harmful code; bypass security controls; evade usage limits; conduct unauthorized surveillance; facilitate fraud or illegal activity; exploit or endanger children; create unlawful deceptive content; misuse Google or Meta data; make unlawful automated decisions; use AshnaAI for unlawful discrimination; create or distribute non-consensual intimate imagery; facilitate violence or terrorism; unlawfully manipulate elections or public processes; attack or test systems without authorization; reverse engineer the Services; scrape the Services without permission; or defeat AshnaAI’s security, monitoring, moderation, or safety controls.


AshnaAI may investigate suspected violations and suspend, restrict, or terminate access.


17. Restricted and High-Risk Uses

Unless expressly authorized in writing by AshnaAI and permitted by applicable law, you must not use the Services for unlawful biometric identification; unlawful biometric categorization; social scoring; unlawful predictive policing; manipulative systems intended to cause significant harm; autonomous decisions affecting legal rights without appropriate human oversight; unlawful employment or education screening; unlawful credit or insurance decisions; medical diagnosis or treatment without qualified professional supervision; systems intended to exploit a person’s vulnerability; or any use prohibited by applicable AI, privacy, consumer-protection, or sector-specific laws.


AshnaAI may refuse or restrict use cases that create unacceptable legal, safety, ethical, or security risks.


18. Plans, Credits, and Usage

AshnaAI may offer the Services through free usage, paid subscriptions, usage-based billing, credits, prepaid balances, enterprise arrangements, or promotional offers.


Credits may be used only for the features specified by AshnaAI.


Unless expressly stated otherwise, credits have no cash value, credits are non-transferable, credits may expire, credits cannot be redeemed for cash, credits may not be resold, and credits may be subject to usage limits.


AshnaAI may impose limits on requests, tasks, agent executions, storage, file size, processing time, API calls, connected services, concurrent workflows, model usage, and other resources.


You must not bypass, circumvent, or manipulate usage limits.


AshnaAI may apply reasonable fair-use restrictions to protect reliability, security, and availability.


19. Fees and Billing

Before purchase, AshnaAI may display fees, billing frequency, usage allowances, feature limits, taxes, renewal terms, cancellation terms, and other commercial terms.


By purchasing a paid Plan, you authorize AshnaAI or its payment provider to charge your selected payment method.


Unless otherwise stated, subscriptions renew automatically; charges are due at the beginning of each billing period; applicable taxes may be added; additional usage may incur additional charges; and fees are non-refundable except where required by law or expressly stated otherwise.


You may cancel through available account or billing settings. Cancellation generally takes effect at the end of the current billing period.


AshnaAI may suspend paid features for failed, overdue, reversed, or disputed payments.


20. Free Trials and Promotional Offers

AshnaAI may provide free trials, promotional credits, discounts, or special offers.


Offers may be limited to one person or Organization, expire, be subject to additional terms, not be combined, not be transferred, not be redeemed for cash, and be changed or withdrawn.


If a trial converts into a paid Plan, applicable price and renewal terms will be disclosed before conversion where required by law.


21. Taxes

You are responsible for applicable taxes, duties, levies, withholding obligations, and similar charges arising from your use or purchase of the Services, except taxes imposed on AshnaAI’s net income.


Where required, AshnaAI may collect taxes at the applicable rate.


22. Intellectual Property

AshnaAI and its licensors own all rights, title, and interest in the Services, software, platform architecture, interfaces, designs, trademarks, logos, Documentation, templates, databases, system prompts, technical methods, and AshnaAI materials.


Except for the limited right granted in these Terms, no rights are transferred to you.


You must not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative works from the Services except as expressly permitted by law or in writing by AshnaAI.


You retain rights in your User Content.


Subject to applicable law and third-party rights, you may use Outputs generated for you. However, Outputs may not be unique; other users may receive similar Outputs; an Output may include third-party material; third-party provider terms may apply; and AshnaAI does not guarantee that you own all rights in an Output.


You are responsible for checking whether an Output is suitable for commercial use.


23. Feedback

If you provide suggestions, ideas, feedback, error reports, or recommendations, you grant AshnaAI a worldwide, perpetual, irrevocable, royalty-free, transferable, and sublicensable right to use, reproduce, modify, publish, distribute, and otherwise exploit that feedback for any lawful purpose without compensation or attribution.


You are not required to provide feedback.


24. Privacy and Data Protection

Your use of the Services is subject to the AshnaAI Privacy Policy.


The Privacy Policy explains how AshnaAI handles Account information, User Content, prompts and Outputs, Google data, Meta data, OAuth credentials, cookies, payment information, analytics data, and other personal data.


API request data and temporary Google Workspace cache data are retained for no longer than 48 hours, except where a longer period is required for security, fraud prevention, abuse prevention, dispute resolution, legal compliance, or protection of AshnaAI’s rights and systems.


OAuth credentials are retained while the relevant connection remains active and are invalidated or removed after disconnection, revocation, or Account deletion in accordance with AshnaAI’s procedures.


25. International Data Processing

AshnaAI and its service providers may process information in India and other countries where AshnaAI or its providers operate.


Where personal data is transferred across borders, AshnaAI will apply safeguards required by applicable law, which may include contractual protections, transfer mechanisms, access controls, encryption, technical safeguards, and organizational measures.


You are responsible for providing any notices and obtaining any permissions required for international processing where you act as a controller, data fiduciary, business, or equivalent entity.


26. Regional Legal Frameworks

AshnaAI is operated by an Indian company and aims to comply with applicable laws relevant to the Services and the location of the user.


India

Depending on the circumstances, these laws may include the Digital Personal Data Protection Act, 2023; rules and regulations made under that Act; the Information Technology Act, 2000; applicable rules concerning reasonable security practices; consumer-protection laws; contract laws; intellectual-property laws; and other applicable Indian laws.


European Economic Area, United Kingdom, and Switzerland

Where applicable, the Services may be subject to the General Data Protection Regulation, the UK GDPR, applicable national data-protection laws, the EU AI Act, consumer-protection laws, electronic-commerce laws, and other applicable digital-services requirements.


You remain responsible for complying with obligations that apply to your deployment, use case, Organization, or industry.


United States

Depending on the user, location, and processing activity, applicable laws may include the California Consumer Privacy Act, as amended; other US state comprehensive privacy laws; child-privacy laws; biometric-privacy laws; consumer-protection laws; communications and telemarketing laws; employment and automated-decision laws; health-information laws; and other applicable federal or state laws.


AshnaAI does not represent that every law listed above applies to every user or every use of the Services.


27. Confidentiality

If you and AshnaAI enter into a separate confidentiality agreement or DPA, that agreement controls.


Otherwise, each party agrees to use reasonable care to protect confidential information received from the other party and to use it only as necessary to provide or receive the Services.


Confidential information does not include information that is publicly available without breach, was already lawfully known, is lawfully received from another source, is independently developed, or must be disclosed by law or legal process.


28. Security

AshnaAI uses reasonable technical, administrative, and organizational safeguards designed to protect the Services and information processed through them.


Safeguards may include encrypted connections, access controls, authentication controls, least-privilege access, logging and monitoring, OAuth-token protection, incident-response procedures, backup and recovery procedures, and provider security controls.


No online service can guarantee absolute security.


You are responsible for protecting your Account credentials, securing connected services, configuring access controls, reviewing permissions, and notifying AshnaAI of suspected unauthorized access.


29. Security Incidents

If AshnaAI determines that a security incident affects information processed through the Services, AshnaAI will take reasonable steps to investigate the incident, contain and remediate the incident, preserve relevant evidence, notify affected customers or Organizations where required, and cooperate with legally required investigations or notifications.


Where AshnaAI processes personal data on behalf of an Organization, notification and cooperation obligations may be governed by the applicable DPA.


You must promptly notify AshnaAI if you discover unauthorized access, compromise, misuse, or a security vulnerability involving the Services.


30. Service Availability and Changes

AshnaAI does not guarantee that the Services will be uninterrupted, error-free, continuously available, secure against every threat, compatible with every device or service, or available indefinitely.


The Services may depend on Third-Party Services, APIs, networks, models, hosting providers, and infrastructure outside AshnaAI’s control.


AshnaAI may suspend Services for maintenance, security, technical changes, legal requirements, Third-Party Service failures, abuse prevention, or other operational reasons.


AshnaAI may make beta, preview, experimental, or early-access features available. Such features may be incomplete, contain errors, change without notice, have limited support, or be discontinued.


31. Third-Party Services

The Services may contain links to or integrations with Third-Party Services.


AshnaAI does not control and is not responsible for third-party content, third-party terms, third-party privacy policies, third-party availability, third-party security, third-party accuracy, third-party actions, changes to third-party APIs, or losses caused by Third-Party Services.


Your use of a Third-Party Service is at your own risk and subject to that provider’s terms.


32. Suspension and Termination by You

You may stop using the Services at any time.


You may close your Account through available settings, or by contacting support@ashna.ai, or privacy@ashna.ai for data-deletion requests.


Subscription cancellation and Account deletion may be subject to separate billing and data-retention procedures.


33. Suspension and Termination by AshnaAI

AshnaAI may suspend, restrict, or terminate access if you violate these Terms; you violate applicable law; your use creates security or legal risk; you fail to pay applicable fees; your Account is compromised; you misuse a Third-Party Service; a Third-Party Service requires suspension; a court or regulator requires suspension; you engage in fraud or abuse; your use threatens service reliability; or AshnaAI discontinues the relevant Services.


Where reasonable and legally permitted, AshnaAI may provide notice and an opportunity to correct the violation before termination.


Upon termination, your right to use the Services ends; connected-service access may be revoked; OAuth credentials may be invalidated or removed; unpaid amounts remain due; and provisions intended to survive termination remain effective.


Data deletion is governed by the Privacy Policy, applicable Plan settings, Organization instructions, and any separate written agreement.


34. Data Export and Deletion

Where technically available, you may export certain User Content before closing your Account.


You are responsible for exporting information before termination if you need to retain it.


After termination, AshnaAI may delete, anonymize, or securely isolate User Content in accordance with the Privacy Policy; applicable Plan settings; Organization instructions; a DPA or other written agreement; and legal, security, fraud-prevention, or dispute-resolution requirements.


For connected services, you may also need to delete content directly from the relevant Third-Party Service.


35. Disclaimers

To the maximum extent permitted by applicable law, the Services and Outputs are provided as is and as available.


AshnaAI disclaims all express, implied, and statutory warranties, including warranties of merchantability, fitness for a particular purpose, accuracy, availability, non-infringement, security, reliability, suitability, title, and uninterrupted operation.


AshnaAI does not warrant that Outputs will be accurate, complete, or reliable; workflows will always execute successfully; connected services will remain available; data will never be lost or corrupted; errors will always be corrected; Outputs will be original; Outputs will be free of third-party rights; or the Services are appropriate for a particular legal, financial, medical, employment, education, or business decision.


Nothing in these Terms excludes a warranty, right, or remedy that cannot lawfully be excluded.


36. Limitation of Liability

To the maximum extent permitted by applicable law, AshnaAI and its directors, officers, employees, affiliates, contractors, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, business, opportunities, goodwill, data, anticipated savings, use, or business interruption.


This limitation applies regardless of the legal theory of the claim, including contract, tort, negligence, statute, warranty, or otherwise, even if AshnaAI was advised of the possibility of the damage.


To the maximum extent permitted by applicable law, AshnaAI’s total aggregate liability arising out of or relating to the Services or these Terms will not exceed the greater of the amount you paid AshnaAI for the relevant Services during the 12 months before the event giving rise to the claim, or INR 10,000.


This limitation does not apply to liability that cannot lawfully be limited or excluded.


A separate written enterprise agreement may contain different liability terms.


37. Indemnification

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless AshnaAI, OPRITS RESEARCH PRIVATE LIMITED, and their directors, officers, employees, affiliates, contractors, licensors, and service providers from claims, damages, losses, liabilities, costs, and expenses, including reasonable legal fees, arising from your use or misuse of the Services, your User Content, your violation of these Terms, your violation of applicable law, your infringement of another person’s rights, unauthorized access to an Account or Third-Party Service, your use of connected services, actions taken through your Account, or your breach of a representation or warranty.


AshnaAI may assume control of the defense of a matter subject to indemnification. You agree to provide reasonable cooperation.


This section does not require indemnification to the extent a claim resulted directly from AshnaAI’s gross negligence, wilful misconduct, or liability that cannot lawfully be transferred.


38. Governing Law and Jurisdiction

These Terms are governed by the laws of India, without regard to conflict-of-law principles.


Subject to mandatory rights and remedies available under applicable law, courts located in Gautam Buddha Nagar, Uttar Pradesh, India, will have jurisdiction over disputes arising out of or relating to these Terms or the Services.


Nothing in this section limits mandatory consumer, privacy, data-protection, or other rights that cannot lawfully be waived or restricted.


39. Informal Dispute Resolution

Before starting formal legal proceedings, you agree to contact AshnaAI at support@ashna.ai and provide a reasonable opportunity to resolve the dispute informally.


This requirement does not prevent either party from seeking urgent injunctive, protective, or equitable relief for unauthorized access, intellectual-property misuse, security threats, confidentiality breaches, or other immediate harm.


40. Changes to These Terms

AshnaAI may update these Terms from time to time.


When we update these Terms, we may update the Last Updated date, publish revised Terms, provide notice through the Services, send an email notice, or take other steps required by applicable law.


Your continued use of the Services after revised Terms become effective means that you accept the updated Terms, subject to any consent requirements.


If you do not agree to updated Terms, you must stop using the Services.


41. General Provisions

41.1 Entire Agreement

These Terms, the AshnaAI Privacy Policy, applicable Plan terms, additional feature terms, DPA, and written agreements constitute the entire agreement between you and AshnaAI regarding the Services.


41.2 Order of Precedence

If documents conflict, the following order applies for the relevant subject matter: (1) mandatory applicable law; (2) a signed DPA, for personal-data processing; (3) a signed enterprise or commercial agreement; (4) applicable additional feature terms; (5) these Terms; and (6) the AshnaAI Privacy Policy, except for privacy matters where the Privacy Policy controls.


41.3 Severability

If a provision is held invalid or unenforceable, it will be modified to the minimum extent necessary to make it enforceable. The remaining provisions will continue to apply.


41.4 No Waiver

Failure to enforce a provision does not waive that provision or any other provision.


41.5 Assignment

You may not assign or transfer these Terms without AshnaAI’s prior written consent.


AshnaAI may assign these Terms in connection with a merger, acquisition, restructuring, financing, sale of assets, or transfer of business.


41.6 Force Majeure

AshnaAI is not responsible for delay or failure caused by events beyond its reasonable control, including internet failures, telecommunications failures, hosting failures, natural disasters, war, terrorism, government action, labor disputes, epidemics, power failures, Third-Party Service failures, or cyberattacks not caused by AshnaAI’s failure to use reasonable safeguards.


41.7 Electronic Communications

You agree that notices, agreements, disclosures, and other communications may be provided electronically. Electronic records satisfy writing requirements to the extent permitted by law.


41.8 No Partnership

These Terms do not create a partnership, agency, employment, joint venture, or franchise relationship between you and AshnaAI.


41.9 No Third-Party Beneficiaries

Except for AshnaAI’s indemnified parties, these Terms do not create rights for third-party beneficiaries.


41.10 Language

These Terms may be translated for convenience. If there is a conflict between the English version and a translation, the English version controls to the extent permitted by law.
